Amphion Innovations plc Fundraising
5 January 2007 - Amphion Innovations plc, the developer of life science and medical technology businesses, announces today that on 29th December 2006, it successfully closed a fundraising of £612,500 (before expenses).
Under the terms of the placing, the Company has issued 2,450,000 new ordinary shares at 25 pence per share ("the Placing Shares").
The net proceeds form the placing will be used to invest in new and identified opportunities.
Application will be made for the Placing Shares to be admitted to trading on AIM. It is expected that admission will occur at 8am on Thursday 11th January 2007. The Placing Shares will rank pari passu in all respects with the existing Ordinary Shares which are currently traded on AIM. Following admission the total number of shares in issue will be 100,100,224.
As part of the Placing Richard Morgan, a director of Amphion, acquired 300,000 Ordinary Shares in the Company at the placing price of 25p per Ordinary Share. Richard Morgan is now interested in 16,289,703 Ordnary Shares representing approximately 16.274 per cent. of the total number of Ordinary Shares in issue following the Placing.
In addition, as part of the Placing, Amphion Capital Partners (a related entity and existing shareholder) acquired 1.025m Ordinary Shares in the Company and is now interested in 8,025,000 Ordinary Shares representing 8.017 per cent. of the total number of Ordinary Shares in issue following the Placing. The shares are registered in the name of Amphion Capital Partners. The partners in Amphion Capital Partners are Richard Morgan, Robert Bertoldi, Richard Mansell-Jones, Anthony Henfrey and Jim Macaleer, all of whom are directors of Amphion Innovations.
